THIS AMENDED AND RESTATED MASTER TRUST AGREEMENT, made as of this 1st day of January 2001, by and among THE DAYTON POWER AND LIGHT COMPANY, an Ohio corporation (“DP&L”), the grantor, DPL Inc., an Ohio corporation, and BANK OF AMERICA, N.A. (“BOA”), RICHARD J. CHERNESKY (“Chernesky”), RICHARD A. BROOCK (“Broock”), and FREDERICK J. CASPAR (“Caspar”) (BOA, Chernesky, Broock, and Caspar hereinafter referred to collectively as the “Trustees”), under the following conditions.

(“Bank One”), RICHARD J. CHERNESKY (“Chernesky”), RICHARD A. BROOCK (“Broock”), and FREDERICK J. CASPAR (“Caspar”) (Bank One, Chernesky, Broock, and Caspar being hereinafter referred to collectively as the “Trustees,” and Chernesky, Broock, and Caspar being hereinafter referred to collectively as the “Individual Trustees”), under the following conditions.
