THIS AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT of American Hotel Income Properties REIT LP (as the same may be further amended, restated, modified or supplemented hereafter from time to time as provided herein, the “Agreement”) is dated and effective as of February 20, 2013.
