AGREEMENT OF NMG PARENT LLC (the “Company”), a limited liability company organized pursuant to the Act, is adopted and entered into, and shall be effective, as of September 25, 2020, by and among the Company, NMG Member, Inc., a Delaware corporation (the “Withdrawing Member”), and, effective at the Effective Time, the Persons listed on Schedule 1 hereto and all other Persons who shall in the future become Members in accordance with and pursuant to the provisions hereof, all in accordance with and pursuant to the provisions of the Act.
