THIS COST REIMBURSEMENT AGREEMENT (the “Agreement”), made and entered into as of this November [ ], 2014 (the “Effective Date”), by and between the NEW YORK POWER AUTHORITY, having an office and place of business at 123 Main Street, White Plains, New York 10601 (the “Customer”), and NIAGARA MOHAWK POWER CORPORATION, a corporation organized and existing under the laws of the State of New York, having an office and place of business at 300 Erie Boulevard West, Syracuse, New York 13202 (the "Company"). Customer and Company may be referred to hereunder, individually, as a “Party” or, collectively, as the “Parties”.
