This Memorandum of Understanding (“this MOU”) is entered into by and among The Charlotte Benton Trust, created December 3, 1997 (the “Trust”), acting through Barbara L. Holt, Trustee and Rita Mae Madden, Trustee (the “Trustees”), the Lompoc District Libraries Foundation, a California nonprofit corporation (“Foundation”), the Friends of the Lompoc Public Library System, a California nonprofit corporation (the "Friends") and the City of Lompoc, a municipal corporation (“City”) (collectively, the “Parties”).
