On August 10, 2012, Totally Green, Inc., a Nevada corporation (the “Company”) and Robert Phillips, Thomas Self, Michael Sitton, Naturally Green – RP, LLC, Naturally Green – TS, LLC, Naturally Green – MS, LLC, York Plains Investment Corp. (“York Plains”) and certain investors (with York Plains, the “York Plains Investors”) agreed as set forth below. The above persons are collectively called the “Stock Purchase Agreement Parties.”
