(the “Company”) on January 25, 2021, in each case held by the undersigned enumerated on Schedule A. The Warrants, the shares of the Company’s common stock, par value $0.001 per share (“Common Stock”) issuable upon exercise of the Warrants (the “Warrant Shares”), and the 16,485,714 shares of Common Stock issued by the Company to the undersigned on or about the date hereof are hereinafter referred to as the “Securities”.

The Notes, the Warrants, the shares of the Company’s common stock, par value $0.001 per share (“Common Stock”), issuable upon conversion of the Notes (“Conversion Shares”), and the shares of Common stock issuable upon exercise of the Warrants (the “Warrant Shares”) are hereinafter referred to as the “Securities”.
