THIS AMENDMENT #5 (“Amendment”) is entered into as of July 26, 2013, by and between WOWOW Inc. (“Licensee”) and CPT Holdings, Inc. (“Licensor”) and amends the Principal Terms of the Subscription Pay Television License Agreement dated as of October 18, 2011, as amended, between Licensee and Licensor (the “Original Agreement”). For good and valuable consideration, the sufficiency of which is hereby acknowledged, Licensee and Licensor hereby agree as follows:
