This Agreement, which shall become effective as of the 20th day of July, 2000, is entered into by and between TCG Ohio, a Delaware corporation, (“TCG”), having an office at 1200 Peachtree Street, N.E., Atlanta, Georgia, 30309, and BellSouth Telecommunications, Inc. (“BellSouth”), a Georgia corporation, having an office at 675 West Peachtree Street, Atlanta, Georgia 30375, on behalf of itself and its successors and assigns.
