THIS AMENDING AGREEMENT NO. 2 (this "Agreement") is dated as of this 31st day of May, 2019 among (i) Covalon Technologies Ltd. (the “Borrower”), (ii) each of the Guarantors party to the Credit Agreement (as hereinafter defined), (iii) HSBC BANK CANADA, as administrative agent (the "Administrative Agent"), and (iv) HSBC Bank Canada and the other financial institutions from time to time party thereto as lenders (collectively, the “Lenders”);
