WITNESSETH WHEREAS, NEWCO is the owner of the Restaurant located at 37 East 50th Street, New York, New York, and doing business as GLOUCESTER CAFE ("the Restaurant"); and, WHEREAS, the MANAGEMENT COMPANY is a New York Limited Liability Company the principals of which are experienced in the business of Restaurant design and administration and, WHEREAS, upon the terms and conditions herein set forth, NEWCO wishes to retain the MANAGEMENT COMPANY to provide administrative, managerial and operating se
