This Professional Services Agreement ("Agreement" or “PSA”), effective as of the later of the dates beneath the parties’ signatures below ("Effective Date"), is by and between Workday, Inc. ("Workday") a Delaware corporation with offices at 6230 Stoneridge Mall Road, Pleasanton, CA 94588 and Cleveland Municipal School District ("Customer"), a school district and political subdivision duly organized and validly existing under the laws of the State of Ohio with offices at 1111 Superior Ave E, Suite 1800, Cleveland, OH 44114. Whereas, Workday offers professional services in conjunction with its hosted application service; Customer desires to obtain such professional services; and this business relationship and the allocation of responsibilities are set forth in this Agreement. Therefore, the parties agree as follows:
