This Purchase and Sale Agreement (this “Agreement”), is dated as of June 27, 2022 (the “Execution Date”), by and among Titus Oil & Gas Production II, LLC, a Delaware limited liability company (“TOGII”), Lenox Minerals II, LLC, a Delaware limited liability company (“LMII”) and Lenox Mineral Holdings II, LLC, a Delaware limited liability company (“LMHII” and together with TOGII, and LMII collectively referred to herein as “Seller”), and Earthstone Energy Holdings, LLC, a Delaware limited liability company (“Purchaser”), and Earthstone Energy, Inc., a Delaware corporation (“Earthstone”, and together with Purchaser, the “Earthstone Parties” and each an “Earthstone Party”).
