dated as of April 30, 2019, is made and entered into by and among Mission Coal Company, LLC, a Delaware limited liability company (the “Company”), the entities set forth on Exhibit A (together with the Company, “Sellers” and each entity individually a “Seller”), Murray Metallurgical Coal Holdings, LLC, a Delaware limited liability company (“Buyer”), and Murray Oak Grove Coal, LLC and Murray Maple Eagle Coal, LLC, each a Delaware limited liability company (each, a “Transferee” and collectively “Transferees”). Capitalized terms used herein and not otherwise defined shall have the respective meanings ascribed thereto in the Asset Purchase Agreement, dated April 3, 2019, by and among Buyer and Sellers (the “Asset Purchase Agreement”).
