This Asset Purchase Agreement (“Agreement”) is made and entered into effective as of the 15th day of July, 2022 (“Effective Date”), by and between NorthWestern Corporation d/b/a NorthWestern Energy, a Delaware corporation with a primary place of business at 11 East Park Street, Butte, Montana 59701 (“Buyer”) and OsAir, Inc., an Ohio corporation with a principal place of business at 3659 S. Green Road, Suite 216, Beachwood, Ohio 44122 (“OsAir”) and the sole owner of the membership interests of Sleepy Hollow Oil & Gas, LLC, an Ohio limited liability company with a principal place of business at 3659 S. Green Road, Suite 216, Beachwood, Ohio 44122 (with OsAir collectively referenced as “Sleepy Hollow”), by and through Eric Silver, solely in his capacity as the court-appointed Receiver (“Receiver”) for OsAir, and not in his personal capacity (“Seller”). As used herein, “Party” means Buyer or Seller singularly and “Parties” means Buyer and Seller collectively.
