This SERVICES AGREEMENT (“Agreement”) dated May 23, 2008 (“Effective Date”), is made by and between Berryessa Union School District, California (“School District”) and Blackboard Connect Inc. (formerly known as The NTI Group, Inc.), a wholly-owned subsidiary of Blackboard Inc., a Delaware corporation (“BCI” or “Company”) (collectively the ‘Parties’ and individually the, ‘Party’), whereby School District wishes to utilize the Company’s Connect-ED® service (“Service”), subject to and in accordance with the following terms and conditions.
