THIS MEMORANDUM OF UNDERSTANDING (the “MOU”) is entered into as of the last date set forth on the Signature Page hereto, by and among, THE CITY OF CHULA VISTA, a municipal corporation having charter powers (“Chula Vista”), THE CITY OF SAN DIEGO, a municipal corporation having charter powers (“San Diego”), and M&A GABAEE, a California limited partnership (“Gabaee”) (Chula Vista, San Diego, and Gabaee are hereinafter individually referred to as a “Party” and collectively referred to as the “Parties”) with reference to the Recitals set forth below which are incorporated herein by this reference.
