DEVELOPMENT AUTHORITY, a joint exercise of powers authority organized and existing under the Constitution and laws of the State of California (the “Authority”), the CITY OF CALISTOGA, a general law city and municipal corporation organized and existing under the laws of the State of California (the “City”) and MUFG UNION BANK, N.A., a national banking association organized and existing under the laws of the United States of America, acting as escrow agent and as 2001 Trustee (as hereinafter defined) for the 2001 Bonds described below (the “Escrow Agent”).
