WHEREAS, Customer desires to appoint , in accordance with the provisions of the Investment Company Act of 1940, as amended (the “1940 Act”), and the rules and regulations thereunder, Bank as custodian, and Bank has agreed to act as custodian for Customer under the terms and conditions hereinafter set forth. NOW THEREFORE, Bank and Customer agree as follows:
