This Settlement Agreement (“Agreement”) is made and entered into this 5th day of June 2018 (“Execution Date”) by and between Meritor, Inc. f/k/a ArvinMeritor, Inc. (“Meritor”) and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Exhaust Systems (“Settlement Class”), as more particularly defined in Paragraph 13 below.
