This Settlement Agreement and Release (“Agreement”)1 is made and entered into by and among (1) Plaintiff Paul O’Neal, individually and on behalf of the Settlement Class, and (2) Chelsea Groton Bank, subject to Preliminary Approval and Final Approval as required by the Connecticut Rules of Civil Procedure. As provided herein, Plaintiff, Class Counsel and Chelsea Groton Bank hereby stipulate and agree that, in consideration of the promises and covenants set forth in this Agreement and upon entry by the Court of a Final Order and Judgment, the claims of the Settlement Class against Chelsea Groton Bank shall be settled and compromised upon the terms and conditions contained herein without any admission of liability by Chelsea Groton Bank.
