As of the Effective Date and for good and valuable consideration StarGuide Information Services Inc. ("StarGuide”) and The Client (as defined in the Client Data Sheet attached hereto) that the Client requests and StarGuide shall provide the Client and or its Users with the services described herein for the Term in connection with each of STARGUIDE GEMMs ™ in accordance with the definitions, terms and conditions of this Agreement as follows:
