This JOINT VENTURE PARTNERSHIP AGREEMENT (“Agreement”) is made and entered into as of the date first set forth below with an effective date of 24th January 2022, (the “Effective Date”), by and between ENSURO GROUP OF COMPANIES LIMITED (“EGCL”), incorporated under the laws of the Republic of Ghana and GUSKIN GOLD GHANA LTD. (“GGGL”), incorporated under the laws of the Republic of Ghana. For purposes of this Agreement EGCL and GGGL are sometimes collectively referred to as the “Parties” and individually as a “Party” or as the “Partners” and individually as a “Partner”.
