THIS AGREEMENT, dated as of , 2023 is entered into between the New York State Urban Development Corporation d/b/a Empire State Development (“ESD”), the Convention Center Development Corporation (“CCDC”) both having an address at 633 Third Avenue, New York, New York 10017 seeking the sale and development of the Site, as defined in ESD and CCDC’s Request For Proposals for Javits Site K dated June 26, 2023 (the “RFP”) and the undersigned Respondent to the RFP (“Respondent”), which has delivered to ESD and CCDC, a submission in response to the RFP, seeking to develop Javits Site K (the “Project”) as set forth in the submission. As used in this agreement, the term “Development” shall mean all development of the Site in connection with the RFP.
