This Purchase and Sale Agreement (this “Agreement”) is made and entered into as of September 26, 2016 by and between Rice Energy Inc., a Delaware corporation (“Rice”), and Rice Midstream Partners LP, a Delaware limited partnership (the “Partnership”).
