This LOCK-UP AGREEMENT (this “Agreement”), dated as of February 21, 2014, is made by and between NCM Financial, Inc., a corporation organized under the laws of Texas (the “Company”), and Michael A. Noel, Martha S. Noel, Ronald L. Noel, Scott M. Noel, and Llew Watkins (collectively the “Holder”).
