This Amendment No. 1 (this “Amendment”) is effective June 14, 2001 (“Amendment Effective Date”), by and between Verizon North Inc., f/k/a GTE North Incorporated, a Wisconsin corporation (“Verizon”), and: ACC of Wausau Corporation, f/k/a Wausau Cellular License Corporation; ACC of Minnesota Corporation, f/k/a Duluth / Superior Cellular, Inc.; and ACC of Wisconsin LLC, f/k/a Chippewa Cellular Corporation, One Cellular Corporation, Pebbles Cellular Corporation, Four Cellular Corporation, Vilas Cellular Corporation, Five Cellular Corporation (collectively “ACC”), a Delaware corporation. (Verizon and ACC may hereinafter be referred to, each individually, as a "Party," and, collectively, as the "Parties").
