Given the proximity between the Arena and the Virginia Beach Convention Center (VBCC), conflicts between the two venues are inevitable. The Term Sheet contemplated that “to the extent possible . . . significant events at the Arena will be given priority”. Upon further review, it was determined that giving events priority in the sense of holding an event at one facility but not the other was not possible, so the Arena has been given priority with respect to parking, and the focus of this Agreement is to minimize and mitigate conflicts through advance planning and communication.
