Reference is hereby made to that certain Second Amended & Restated Credit Agreement dated as of April 2, 2001 by and among each of SPHERION CORPORATION ("Spherion") and SPHERION WORLDWIDE HOLDING BV (f/k/a Interim Services Worldwide Holding BV) ("Spherion Worldwide" and together with Spherion, the "Borrowers", and each individually a "Borrower"), as Borrowers, BANK OF AMERICA, N.A., a national banking association, as administrative agent ("Bank of America" or, in its capacity as administrative agent, the "Agent"), and EACH FINANCIAL INSTITUTION PARTY THERETO AS A LENDER (each such financial institution may be referred to individually as a "Lender" or collectively as the "Lenders"), as amended by Amendment Agreement No, 1 to Credit Agreement dated as of June 22, 2001 (as so amended, the "Credit Agreement"). All capitalized terms not otherwise defined herein shall have the meaning given thereto in the Credit Agreement.
