THIS AMENDED AND RESTATED EQUITY PURCHASE AGREEMENT (this “Agreement”), dated as of September 12, 2024, is entered into by and between SanDisk China Limited, a company organized under the Laws of the Republic of Ireland (“Seller”) and JCET Management Co., Ltd. (长电科技管理有限公司), a limited liability company established under the Laws of the PRC (“Purchaser”). Seller and Purchaser may each be referred to herein as a “Party” or collectively as the “Parties.”
