THIS ASSET PURCHASE Agreement (“Agreement”), dated as of the day of [November], 2023 (the “Effective Date”) by and between the Union Public Service District, a public utility organized and existing under the laws of the State of West Virginia (“Union PSD” or the “Seller”) and West Virginia-American Water Company, a corporation organized and existing under the laws of the State of West Virginia (“WVAWC”). In addition to the capitalized terms defined elsewhere in this Agreement, capitalized terms as used in this Agreement have the meanings set forth in Appendix 1 unless otherwise specified herein.
