THIS AMENDMENT NO. 2 TO ASSET PURCHASE AND SALE AGREEMENT (the “Agreement”) is made as of this 20th day of August 2012 (the “Effective Date”) by and among Fusion Telecommunications International, Inc. (“Fusion”), a corporation organized under the laws of the State of Delaware; NBS Acquisition Corp.
