WHEREAS, the Central Oklahoma Transportation and Parking Authority was created by a Trust Indenture dated February 1, 1966 (the “Trust Indenture”), designating certain individuals as Trustees of the AUTHORITY for the use and benefit of The City of Oklahoma City, Oklahoma (the “City”) under trust of and pursuant to the provisions of Title 60, Oklahoma Statutes 2011, Sections 176 to 180.4, inclusive, as amended and supplemented, the Oklahoma Trust Act (the “Act”) and other applicable statutes of the State of Oklahoma, the Amendment to Trust Indenture, dated as of September 11, 2003 (“Trust Indenture Amendment”), which authorized Surrogate Trustees, and the Amended and Restated Trust Agreement Indenture (“Trust Indenture Restatement”); and
