This Data Transfer and Processing Agreement (the “DTPA”) has been pre-signed on behalf of Questionmark and subject to the conditions mentioned herein forms part of the agreement between Questionmark and Customer (the “Parties”) pursuant to which Questionmark provides Customer with Perception or OnPremise support, consulting and related services (“Services”) (the “Agreement”). This DTPA applies if and to the extent the Parties are required to enter into the SCCs by applicable data protection laws (in absence of other conditions or safeguards referred to in Chapter V of the EU General Data Protection Regulation (2016/679)(“GDPR”)) when countersigned by Customer and submitted to privacy@questionmark.com. Customer shall do so prior to providing Questionmark with access to Personal Data. Entering into the Agreement and this DTPA shall be sufficient to make the SCCs applicable, without further execution requirements.
