This Settlement Agreement (“Agreement”) is made and entered into this 22nd day of September 2017 (“Execution Date”) by and between Kiekert AG and Kiekert U.S.A., Inc. (together, “Kiekert”), and End-Payor Plaintiff Class Representatives (“End-Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Side-Door Latches and Latch Minimodules (“Settlement Class”), as more particularly defined in Paragraph 12 below.
