THIS NONCOMPETITION AND NONSOLICITATION AGREEMENT (this “Noncompetition Agreement”) is being entered into as of December 20, 2010, by and between (the “Seller Member”) and Banks.com, Inc., a Florida corporation (the “Buyer”).
