If the hyperlink location of this Professional Services Agreement (the “PSA”) is referenced in a Statement of Work (as defined below) signed by both an authorized representative of the procuring party (the “Customer”) and Point Systems, Inc. (“Point Systems”); or is referenced in the description for an item on a Point Systems Estimate/Order Form signed by Customer, or in an agreement between Point Systems and Customer, then the Professional Services procured by Customer shall be subject solely to the terms and conditions of this PSA and not the Main Terms (as defined below).
