FOR VALUE RECEIVED, the receipt and sufficiency of which is acknowledged, the undersigned, Wank Adams Slavin Associates LLP a/k/a WASA Studio, a New York limited liability partnership (the “Borrower”), hereby promises to pay to the order of Harry Spring, a resident of the State of New York (the “Lender”), the principal sum of Fifty Thousand Dollars ($50,000.00) or, if less, the principal amount shown to be due on the grid schedule attached hereto as Exhibit “A” (the “Schedule”), in accordance with the terms and conditions set forth herein and subject to the provisions of that certain Debtor in Possession Loan and Security Agreement dated October 12, 2016, a copy of which is attached hereto as Exhibit “B”, and as may be amended, modified, restated, consolidated, replaced, or supplemented from time to time (the “Loan Agreement”) by and between the Borrower and the Lender. Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Loan Agreement.
