The purchase order to which these Purchase Order Terms and Conditions (“Terms and Conditions”) are affixed or are incorporated by reference (together with the Terms and Conditions and any and all appendices, statements of work, and/or exhibits attached hereto or otherwise issued by President and Fellows of Harvard College (“Harvard”) in connection herewith, the “Purchase Order”) is by and between Harvard and Seller (as defined in the Purchase Order) (Harvard and Seller, collectively, the “Parties,” each a “Party”). The Purchase Order constitutes the entire agreement between Harvard and Seller relating to the Goods and/or Services (each as defined in the Prices Section below) and supersedes and replaces any and all prior discussions and agreements between the Parties relating to such Goods and/or Services.
