In accordance with the National Aeronautics and Space Act (51 U.S.C. § 20113(e)), this Agreement is entered into by the National Aeronautics and Space Administration Stennis Space Center, located at Stennis Space Center, MS 39529 (hereinafter referred to as "NASA" or "NASA SSC"), and Rolls-Royce North America, Inc., a company organized and existing under the laws of the State of Delaware, having an office at 1900 Reston Metro Plaza, Suite 400, Reston, VA 20190, and Rolls-Royce Corporation, and its domestic affiliates, subsidiaries, and assigns, and is a company organized and existing under the laws of the State of Delaware, having an office at 450 South Meridian Street, Indianapolis, IN 46225 (hereinafter referred to as "Partner" or “Rolls-Royce”). NASA and Partner may be individually referred to as a "Party" and collectively referred to as the "Parties."

This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of researching and developing materials and scalable technologies for lunar surface manufacturing which utilize renewable lunar resources, specifically the by-products of regolith-to-oxygen conversion processes and the adaptive reuse of mission waste and mission assets at end-of-life.
