This Confirmation Letter (“Confirmation”) confirms the Transaction between Party 1 (“Seller”) and the City of San José (“Buyer”), each individually a “Party” and together the “Parties”, dated as of _________________, 2018 (the “Confirmation Effective Date”) in which Seller agrees to provide to Buyer the right to the Product. This Transaction is governed by the terms and conditions of the WSPP Agreement effective as of June 21, 2018, along with any schedules and amendments thereto (collectively, the “Master Agreement”). The Master Agreement and this Confirmation shall be collectively referred to herein as the “Agreement”. If there is any conflict between the terms set forth in this Confirmation and the Master Agreement, the terms set forth in this Confirmation shall govern. Capitalized terms not otherwise defined in this Confirmation have the meanings ascribed to them in the Master Agreement or the Tariff (defined herein below).
