This License Agreement (the "Agreement"), effective as of January 1, 2024 (the "Effective Date"), is entered into by and between CallidusAI, Inc., a Delaware corporation ("the Vendor"), and ABC Real Estate Inc., a New York corporation ("the Company"). The Vendor develops and provides software as a service (SaaS) solutions designed to automate general and administrative functions, and the Company operates within the real estate industry and seeks to utilize such SaaS solutions to enhance its operations. Recognizing the critical nature of the Company's financial data and the importance of maintaining its confidentiality and security, the Vendor agrees to provide the Company with access to its SaaS platform under the terms and conditions set forth in this Agreement. Accordingly, the parties agree as follows:
