WHEREAS, on January 3, 2011, the City of Fort Collins (the "City") and the Town of Windsor (the "Town") entered into an Intergovernmental Agreement (the "Original Agreement") setting forth certain understandings between the City and the Town with regard to the development of the Interstate 25/State Highway 392 Interchange; and
