THIS OPERATING AGREEMENT, dated effective as of 10 November 2007 (the “Operating Agreement”), is made by CHI PSI FRATERNITY, a Michigan nonprofit corporation (the “Member”) as the sole member of SPENCER PROPERTIES, LLC, a Tennessee limited liability company (the “Company”), to set forth the terms and conditions on which the management, business and financial affairs of the Company shall be conducted. All initially capitalized terms used in this Operating Agreement shall have the meanings set forth in Section 12.14 hereof (which definitions shall be controlling).
