Unless otherwise agreed to by Dell in writing, as of October 1, 2010 all purchases of Dell hardware, software and services by commercial customers in the United States are pursuant to Dell’s Commercial Terms of Sale (“CTS”). “Commercial customers” includes Small, Medium and Large Business and Government and Public sector customers. The CTS replaces the Dell Customer Master Services Agreement (“CMSA”) in its entirety. Any and all references to the CMSA, including, but not limited to those contained in Dell Service Descriptions posted at www.Dell.com/ServiceContracts, statements of work, invoices, order acknowledgements, websites related to Dell services, acknowledgements presented during installation of Dell software, or upon logging-on to a Dell services web portal, are replaced with a reference to the CTS. The CTS is posted for review at www.Dell.com/Terms. This CMSA remains available for review solely for the convenience of customers who purchased Dell services prior to October 1, 20

THIS CUSTOMER MASTER SERVICES AGREEMENT (“MSA”) is entered into by you (“Customer”) as evidenced by your use of the Services (defined below). “Customer” shall include Customer’s corporate subsidiaries, as well as corporate parents, affiliates, and other related entities (collectively, “Affiliates”) approved by Dell to receive Services under this MSA. For purposes of this MSA the term “Dell” shall mean Dell Marketing L.P. or, when applicable, the Dell entity identified on Customer’s invoice.
