THIS WWTP ESCROW AGREEMENT (the “Agreement”) is made and entered into this day of February, 2021 (the “Effective Date”), by and among TOWN OF WAYLAND, acting by and through its Board of Selectmen (hereinafter “Seller”), a Massachusetts municipal corporation having an address of 41 Cochituate Road, Wayland, MA 01778, and ALTA RIVER’S EDGE, LLC, a Delaware limited liability company having its business address c/o Wood Partners, 91 Hartwell Avenue, Lexington, MA 02421, Attn: Jim Lambert (hereinafter “Buyer”), and FIRST AMERICAN TITLE INSURANCE COMPANY (hereinafter referred to as “Escrow Agent”).
