The parties hereto agree as follows: Section 1. Certain Definitions. The following capitalized terms shall have the following meanings: "Bankruptcy Code" has the meaning assigned to such term in Section 8(a). "Borrower Group" has the meaning assigned to such term in Section 2(c). "Business Day" means a day on which regular trading occurs on the NYSE, or if the Common Stock is not listed on the NYSE, the principal market on which the Common Stock is listed or quoted; if the Common Stock is not so listed or quoted, "Business Day"
