THIS AGREEMENT (together with all appendices, schedules and annexes hereto, which are hereby deemed a part hereof, and as amended, modified or supplemented from time to time, this “Agreement”), is made as of the day of _ , 2010, by and between: (i) Lehman Brothers Holdings Inc., a corporation organized under the laws of Delaware (the “Client”); and (ii) LAMCO LLC, a limited liability company organized under the laws of Delaware (hereinafter called the “Manager”). For purposes of this Agreement only, (a) neither the Manager nor any of its subsidiaries shall be deemed an affiliate of the Client, and (b) the Client shall not be deemed an affiliate of the Manager or any of its subsidiaries.
