SUB-ADVISORY AGREEMENT AGREEMENT made as of the 31st day of May, 1997 by and between Dean Witter InterCapital Inc., a Delaware corporation (herein referred to as the "Investment Manager"), and Morgan Grenfell Investment Services Limited, a British corporation (herein referred to as the "Sub-Adviser").
