This Settlement Agreement and Release (the “Agreement”) is made and entered into as of March 25, 2024 by and among (1) Nogin, Inc., Nogin Commerce, Inc., and Native Brands Group LLC (collectively, the “Debtors”); (2) B.R.F. Finance Co., LLC, B. Riley Securities, Inc. and B. Riley Commercial Capital, LLC (collectively, “B. Riley”); and (3) Reliance Financial LLC (“Reliance”, and collectively with the Debtors and B. Riley, the “Parties” and each a “Party”).
